Position overview
Blackpeak is recruiting a legal and compliance counsel to join our rapidly expanding team (location to be discussed). The position will serve as the key contact for Blackpeak’s ethics and compliance program and protect the firm against any legal risk. Working closely with Blackpeak’s senior management and human resources team, the counsel will lead and manage all aspects of Blackpeak’s legal and compliance functions, including review and draft of legal documents and policies, and advise the company on legal and regulatory issues related to projects and with external third parties.
Job responsibilities
The main responsibilities of the position are:
Legal:
- Drafting of standard Blackpeak documents: Terms of Business, NDAs, vendor contracts, etc.
- Review and negotiation of individual Terms of Business, Master Services Agreements, etc. with clients.
- Monitoring and review of legislation and regulation affecting our business across all markets and drafting policies as appropriate.
- Assistance with legal and compliance matters relating to client on-boarding.
- Negotiation and documentation of third party agreements, including referral and strategic agreements.
- Dealing with third party disputes or legal issues.
- Dealing with employee termination issues, including advising on related tax and employment law matters.
- Overseeing intellectual property protection.
Compliance:
- Development, drafting and monitoring of internal Blackpeak policies, including Ethics & Compliance, Data Protection, Privacy, Anti-Bribery and Corruption.
- Review of Blackpeak reports and client communications for Material Non-Public Information.
- Compliance training and communication to staff.
Requirements
- Minimum 5 years legal-related working experience in law firms, multi-national corporations or large and medium-sized enterprises is preferred
- Qualified and practicing lawyer in APAC
- Understand latest legal trends and international best practices for relevant issues such as anti-bribery and corruption, data privacy compliance, MNPI, etc.
- Familiar with employment laws, Companies Ordinance and other applicable laws and regulations in APAC
- Prior experience in a similar role
- Excellent inter-personal skills and multi-cultural awareness
- Able to work independently, good organizational and time management skills with proficiency to multi-task and prioritize work
- Excellent drafting skill with the ability to provide accurate, practical and timely advice
- Good command in spoken and written English
